Terms and Conditions

  • Contracting Parties
    These general terms and conditions of sale apply to all orders placed with the sole proprietorship Maxence FERRAND (and "9signstudio") (hereinafter referred to as the "Designer") and to all quotes accepted and signed by a Client (whether an individual or legal entity). Any person, company, corporation, or association placing an order with Maxence FERRAND (and "9signstudio") is considered a Client.

    General Provisions
    The purpose of these general terms and conditions of sale is to define the rights and obligations of the parties in the sale of products created by the Provider for its Clients in the course of its commercial activities in graphic design and creation. The Client agrees to provide all necessary elements for the successful completion of the project. Any specific requests not covered by the quote or purchase order must be formalized in a specification document accepted by both the Client and the Designer. The Provider reserves the right to modify its general terms and conditions of sale, formulas, and pricing at any time without prior notice. These changes will not affect current orders. The Designer’s working hours are from Monday to Friday, 9:00 AM to 6:00 PM. The Designer agrees to communicate her vacation dates to the Clients. By using the Designer's services, the Client acknowledges having read and unconditionally accepted the following general terms and conditions of sale, as well as the warnings set forth in the excerpt from Law No. 57-298 of March 11, 1957, on artistic property (J.O. of March 14, 1957) concerning authors' intellectual property rights. To this end, the Client will affix their signature, preceded by the handwritten notation "read and approved," at the bottom of this document.

    Pricing
    Quotes issued by the Designer are valid on the date of issuance and for a period of one month. This validity period is specified on the quote. Final prices are those listed on the quote after a thorough review of the Client’s request. Any additional content creation requested by the Client and not mentioned in the initially validated quote will be billed separately. All prices provided by the Designer are exclusive of taxes and are not subject to VAT according to Article 293 B of the French General Tax Code. All prices are expressed in euros. The signature of the quote turns it into a definitive order binding both parties; no cancellations will be accepted. The quote must be accompanied by a 30% deposit of the total price of the services to be provided.

    Payment
    Unless an additional payment period has been agreed upon by both parties and indicated on the invoice, payment must be made no later than the thirtieth day following the invoice date (C. Com. art. L. 441-6, al.2, amended by the law of May 15, 2001). In the event of late payment of invoices by the Client beyond the specified date, late payment penalties will be charged as follows: any delay in payment may result in late fees, payable without reminder, at a rate of 5% of the total invoice amount (excluding tax) per month of delay (Fight against late payments / Article 53 of the NRE Law), as well as a fixed indemnity of €40 for recovery costs (C. Com. art. D441-5). The calculation of penalties will begin on the second business day after the payment due date indicated on the invoice and will end on the day payment is received. Payment of the penalty is due by bank transfer or check upon receipt of the relevant invoice. If this clause is not adhered to, the calculation of penalties will continue as if payment had not been made, until the penalty invoice is paid.

    Contract Cancellation
    In the event of contract termination by the Client before its completion, the Client formally agrees to settle and pay for the amounts relating to the ongoing schedule, completed or ongoing tasks, as well as additional services provided. The source files and data created and used by the Designer may not be claimed by the Client without financial compensation. Drafts, and more broadly, all original works, remain the property of the Designer, including rejected projects. The deposit already paid will be retained by the Designer as compensation for the work undertaken.

    Incapacity to Work
    In the event of incapacity to work due to illness or accident, the Designer reserves the right to modify the ongoing schedule without the Client being entitled to any compensation. It is agreed that the Designer must notify the Client from the first business day of her incapacity.

    Force Majeure
    Neither party shall be held responsible or in default of their contractual obligations when the failure to execute their obligations is due to a force majeure event; the contract between the parties is suspended until the cause of the force majeure ceases. Force majeure includes any irresistible events or circumstances, external to the parties, unforeseeable, and beyond the control of the parties, despite all reasonable efforts to prevent them. Force majeure also includes, but is not limited to, the blockage of transportation or supply means, earthquakes, fires, storms, floods, lightning, telecommunication network outages, including all Internet-accessible networks, or difficulties specific to telecommunication networks external to the parties. The party affected by the force majeure shall notify the other party within five (5) business days of becoming aware of it. The parties will then agree on the conditions under which the contract will be resumed.

    Confidentiality
    Maxence FERRAND (and "9signstudio") agrees to maintain confidentiality while working on the Client’s projects until the Client publishes the creations. Under no circumstances will the Client's personal and/or professional data be disclosed.

    Delivery Timeframe
    The order delivery timeframe is defined in the quote and validated by the Client.

    Transfer of Rights
    All production and related rights, the subject of the order, remain the full and exclusive property of the Designer until all invoices issued by the Designer as part of the order are paid in full by the Client. Consequently, the Client will become the owner of the production and the assigned rights upon final settlement of all invoices issued by the Designer.

    Intellectual Property Rights
    The Designer's name and title must be visibly credited on promotional, advertising, and any other communication materials regarding the work. The Client assumes responsibility for ensuring compliance with these stipulations in the exploitation, promotion, and advertising carried out by themselves and agrees to enforce their respect by any third party involved in the exploitation, promotion, or advertising of the work.

    References
    The Client agrees that the Designer may include the work completed under this contract among her references.

    Dispute Resolution
    The contract is governed by French law. Any disputes or disagreements regarding the interpretation or execution of this contract, failing an amicable resolution between the parties, will be brought before the competent courts in Paris, to which the parties expressly grant jurisdiction.
